Introduction and Acceptance of Terms

Suraasa is a brand wholly owned by Les Transformations Learning Private Limited, which provides all associated products and services. These Terms of Use (“Terms”) govern your access to and use of Suraasa’s website, mobile applications, and other products and services (collectively, the “Services”). Some of our Services may include software that is downloaded to your computer, phone, tablet, or other device. By using the Services, you consent to the automatic installation of updates and agree that these Terms will apply to any such updates. Please review these Terms carefully. By accessing or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, including all referenced policies.

Eligibility to Use Our Services

You may use our Services only if you are legally capable of entering into a binding contract with Suraasa and comply with these Terms and all applicable laws and regulations. When creating a Suraasa account or using certain features, you must provide accurate, complete, and up to date information. You agree to promptly update your information as necessary to maintain its accuracy. Use or access of the Services by individuals under the age of 13 is strictly prohibited. Additionally, specific regions or Content Offerings may be subject to further eligibility requirements or restrictions.

License to Use Our Services

Subject to these Terms and our applicable policies (including the Acceptable Use Policy, Honor Code, course-specific eligibility criteria, and any additional terms), Suraasa grants you a limited, personal, non-exclusive, non-transferable, and revocable license to access and use our Services. You may download content solely for your personal, non-commercial use, unless you have obtained prior written consent from Suraasa for alternative usage. You agree to maintain a single user account unless expressly authorized by Suraasa, and you must not share your account or access credentials with any third party. Use of our Services does not grant you any ownership rights in the intellectual property associated with the Services or the content you access.

Course Enrollment and Access Rights

When you enroll in a course on the Suraasa platform, whether free or paid, you are granted a license by Suraasa to access and view the course content through our Services. Suraasa remains the licensor of record, and courses are provided under a limited license for the duration specified on the respective course page. This license is not a sale and does not confer any ownership rights to the course content.

Specifically, Suraasa grants you (as a student) a limited, non-exclusive, non-transferable license to access and view the course and associated content for which you have paid all applicable fees, solely for your personal, non-commercial, educational use, and only through the Suraasa platform and Services, in accordance with these Terms and any course-specific restrictions. All other uses are strictly prohibited. You may not reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works of, sublicense, or otherwise transfer or use any course content without prior written authorization from Suraasa.

We typically provide a one year access license upon enrollment, unless otherwise stated. However, Suraasa reserves the right to revoke access at any time, without liability, if required by law or our internal policies, such as when content must be removed due to copyright claims or other legal concerns. This limitation also applies to any content accessed via our APIs or third-party integrations.

Payments

By purchasing a course, you agree to pay all applicable fees and authorize Suraasa to charge your debit card, credit card, or other accepted payment methods for the full amount. Suraasa partners with trusted third-party payment processors to provide secure and convenient payment options tailored to your location. Your payment information is handled in accordance with our Privacy Policy. Please refer to it for further details on how we collect, use, and protect your data.

Refunds and Cancellations

Suraasa offers a structured refund policy for course enrollments, subject to the conditions outlined below:

  1. If a learner withdraws within the first seven (7) days from the date of enrollment or purchase, 70% of the fee paid excluding any non-refundable registration fee will be refunded.
  2. If a learner withdraws between seven (7) to fifteen (15) days from the date of enrollment or purchase, 50% of the fee paid, excluding the non-refundable registration fee, will be refunded.
  3. No refunds will be granted for withdrawal requests received after fifteen (15) days from the date of enrollment or purchase.
  4. Enrollments made under a monthly payment plan are not eligible for any refunds under any circumstances.
  5. Any refund amount due under this policy will be processed within ninety (90) days from the date of receipt of the valid cancellation request. Learners who are suspended or expelled from Suraasa due to violations of our Terms of Use, Trust & Safety Guidelines, or for any disciplinary reasons will forfeit all rights to refunds, regardless of their time of withdrawal.

Education Research

Suraasa is dedicated to advancing the science of learning and teaching. As part of this commitment, your participation in courses may be used for educational research purposes. To support this research, you may experience variations in Content Offerings from time to time. Your personal identity will never be publicly disclosed in any research outcomes without your explicit, informed consent.

Modifying and Terminating Our Services

Suraasa continually works to enhance and evolve its Services. As part of this ongoing improvement, we may add, modify, or remove features, functionalities, or requirements, and in some cases, suspend or discontinue parts of the Services entirely. Consequently, Suraasa reserves the right to terminate or restrict your access to any Service at any time and for any reason.

If your access to a paid Service is terminated, any applicable refund will be processed in accordance with our Refund Policy.

Due to legal, regulatory, or technical limitations, we may be unable to offer certain Services in specific regions or countries, including but not limited to those affected by export control laws or government imposed internet restrictions.

Suraasa, along with its instructors, contributors, sponsors, partners, and their respective employees, contractors, and agents, shall not be held liable for any such modifications, suspensions, or terminations.

You may choose to stop using our Services at any time, though we’ll be sorry to see you go.

Disclaimers

The Services and all associated content are provided on an “as is” and “as available” basis, without any warranties of any kind, whether express, implied, or statutory. The Suraasa Parties expressly disclaim all warranties and conditions, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing, usage of trade, or performance.

Suraasa and its affiliates, instructors, contributors, partners, and agents make no representations or guarantees regarding the reliability, availability, accuracy, or completeness of the Services or content. To the fullest extent permitted by law, the Suraasa Parties disclaim all liability for any loss, injury, claim, liability, or damage of any kind resulting from your use of or reliance on the Services or any content provided therein.

You acknowledge and agree that your access to and use of the Services and content is entirely at your own risk.

Indemnification

You agree to indemnify, defend, and hold harmless the Suraasa Parties from and against any and all claims, liabilities, losses, damages, expenses, and costs, including reasonable attorneys’ fees and legal expenses, arising out of or related to: a. your use or attempted use of the Services in violation of these Terms; b. your violation of any applicable law, regulation, or the rights of any third party; or c. any User Content you submit, post, or otherwise make available through the Services, including but not limited to claims of intellectual property infringement or misappropriation of proprietary rights.

This indemnification obligation will survive the termination of your use of the Services and these Terms.

Governing Law and Jurisdiction

These Terms are governed by and shall be construed in accordance with the laws of the State of Uttar Pradesh, India, without regard to its conflict of law principles. You agree that any dispute arising out of or relating to these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts located in Uttar Pradesh, India, and you hereby consent to the personal jurisdiction and venue of such courts.

For disputes where the total amount claimed is less than ten thousand U.S. Dollars (USD $10,000), and excluding claims seeking injunctive or other equitable relief, either you or Suraasa may elect to resolve the dispute through binding arbitration conducted by a mutually agreed upon alternative dispute resolution (ADR) provider. This arbitration will be non-appearance based and conducted via written submissions, telephone, or online, unless both parties agree otherwise. The arbitration decision shall be final and binding, and judgment on the arbitrator’s award may be entered in any court of competent jurisdiction.

Revisions to the Terms

Suraasa reserves the right to modify or update these Terms at its sole discretion at any time. Any changes will become effective immediately upon being posted on our platform. In the event of material changes, we will make reasonable efforts to notify you, such as through a prominent notice on the website, email communication, or other appropriate methods.

Your continued use of the Services following the publication of any revised Terms, with or without specific notice, will constitute your binding acceptance of those changes.

At Suraasa, our mission is to provide universal access to world-class teacher education. We are committed to upholding the principles of free speech and expression for our users, as well as academic freedom for our instructors. At the same time, we strive to maintain a respectful, inclusive, and safe environment for all members of our community.

This Use Policy is intended to help users understand the expectations for behavior when engaging with our Services and participating in our online community. By using the Services, you agree to adhere to these guidelines.

We reserve the right to review, remove, or modify any content or activity that we determine to be inappropriate, harmful, or in violation of our Terms or policies. We may also suspend, restrict, or terminate access to part or all of the Services for users who violate this policy.

Prohibited Content

You are strictly prohibited from using our Services to share, post, or distribute content that:

  1. Promotes or contains illegal activities: Content that includes or encourages unlawful behavior, or promotes activities with the intent to commit such acts, is not allowed. Please remember that Suraasa is used by learners as young as 13, and all content must be appropriate for a general audience.
  2. Incites violence or makes credible threats: Content that creates a real risk of physical harm, property damage, or public endangerment, or that promotes, threatens, or organizes acts of real-world violence, is strictly prohibited.
  3. Harasses, bullies, or targets individuals: While we encourage open discussion and commentary on matters of public interest, targeted abuse, harassment, or inappropriate content directed at private individuals is not permitted.
  4. Violates intellectual property or privacy rights: Do not upload, share, or claim ownership of content you do not have rights to. This includes copyrighted materials, trademarks, confidential information, or personal data of others. Always provide proper attribution when referencing or quoting external materials.
  5. Constitutes spam or unwanted solicitation: Irrelevant or repetitive promotional content, advertisements, or solicitations are not allowed.
  6. Violates the Suraasa Terms of Use: All content must comply with our Terms of Use, as well as any additional rules or requirements specified in particular Content Offerings or course guidelines.

Prohibited Conduct

In addition to the content restrictions outlined above, you are strictly prohibited from engaging in the following activities while using Suraasa’s Services:

  1. Violating applicable laws: This includes any local, state, national, or international law, as well as breaching any contractual obligations or fiduciary duties.
  2. Sharing account credentials: You must not share your login information or allow others to access your account. You are solely responsible for maintaining the confidentiality and security of your account.
  3. Unauthorized account access or impersonation: Attempting to access another user’s account, impersonating any person or entity, or misrepresenting your affiliation is strictly prohibited.
  4. Unauthorized use of content: You may not reproduce, distribute, sell, resell, license, or otherwise exploit any part of the Services or content without prior written authorization from Suraasa.
  5. Accessing restricted areas: Do not attempt to access, tamper with, or use non-public areas of our systems or networks without proper authorization.
  6. Compromising security: You must not bypass, disable, or interfere with any security or authentication measures, or test the vulnerability of our systems or networks unless explicitly permitted.
  7. Reverse engineering: Attempting to reverse engineer, decompile, or disassemble any portion of the Services is prohibited.
  8. Disruptive behavior: This includes interfering with the normal functioning of the Services, servers, or networks, such as through viruses, denial-of-service attacks, spamming, or mail-bombing.
  9. Distribution of malicious software: You must not use the Services to transmit, distribute, or facilitate the spread of malware or any harmful code.
  10. Non-educational or unauthorized use: The Services are intended solely for educational purposes. You may not use them for unauthorized commercial activities or other non-pedagogical purposes.
  11. Aiding violations: You may not encourage, assist, or facilitate others in engaging in any of the prohibited conduct listed above.
