Applies to: The Suraasa mobile and desktop applications (the "App" / "Software")
Last updated: 30th July, 2026
Effective date: 1st September, 2026
1. Introduction and acceptance
This End User License Agreement ("EULA") is a binding agreement between you and Suraasa — Les Transformations Learning Private Limited, a company incorporated in India, registered office Noida, India, together with its affiliates ("Suraasa," "we," "us," "our") — governing your installation, access to, and use of Suraasa's mobile and desktop applications, including all related software, content, and updates (the "Software" or "App").
By installing, accessing, or using the Software, or clicking to accept, you agree to this EULA. If you do not agree, do not install or use the Software. This EULA supplements, and is incorporated into, the Terms of Use and Privacy Policy. If you use the Software on behalf of an organisation, you represent you are authorised to bind it. If you access the Software through an institution or company licence, the Institutional Agreement also applies (Terms of Use Section 4).
2. Licence grant
Subject to your continued compliance with this EULA and the Terms of Use, Suraasa grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to download, install, and use the Software, in object-code form only, on a device that you own or control, solely for your own professional and educational purposes and as enabled by your subscription or access tier. This is a licence, not a sale; Suraasa and its licensors retain all right, title, and interest in the Software. All rights not expressly granted are reserved.
3. Licence restrictions
You will not, and will not permit any third party to:
4. Ownership and intellectual property
The Software and all related content, models, algorithms, templates, designs, documentation, and all improvements and derivatives are and remain the exclusive property of Suraasa and its licensors, protected by copyright, trademark, trade-secret, and other laws. "Suraasa," "Suraasa Sure," and associated marks are trademarks of Suraasa; this EULA grants no right to use them. No rights are granted by implication or estoppel.
5. Content, AI outputs, and data
Your User Content and the Outputs of AI features are governed by Sections 7 and 8 of the Terms of Use. In summary: for free features (including the AI tools), Suraasa owns the content and Outputs generated, other than your personal data, and licenses the Outputs back to you for your own teaching and professional use; for paid Services, you retain ownership of the original content you submit. Your personal data is governed by the Privacy Policy, under which Suraasa is the data controller, does not train third-party foundation AI models on your content, uses zero-retention AI processing, and does not store raw audio.
6. Updates and changes
Suraasa may provide updates, upgrades, patches, and new versions, and may add, modify, or remove features, at any time; updates may install automatically where your device settings permit. Updates are subject to this EULA unless accompanied by separate terms. Suraasa is not obligated to provide updates or to support prior versions.
7. Third-party and open-source components
The Software may include third-party or open-source components licensed under their own terms, which govern those components to the extent of any conflict with this EULA. Required notices, if any, are provided in the App or documentation.
8. Fees
Use of certain Software features may require fees as set out in the Terms of Use, your order, or an applicable Institutional Agreement, and purchases made through an app store are also subject to that app store's terms.
9. Term and termination
This EULA applies from your first installation or use until terminated. Suraasa may suspend or terminate the licence immediately if you breach this EULA or the Terms of Use, or as required by law. You may terminate by ceasing all use and uninstalling the Software. On termination, all licences cease and you must stop using and delete/uninstall the Software and any copies. Sections 3, 4, 5, 10, 11, 12, 13, 14, and 16 survive termination.
10. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Software is provided "as is" and "as available," without warranties of any kind, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. Suraasa does not warrant that the Software will be uninterrupted, error-free, or secure, that defects will be corrected, or that Outputs will be accurate or fit for any purpose. Some jurisdictions do not allow the exclusion of certain warranties, so some exclusions may not apply to you.
11. Limitation of liability
To the maximum extent permitted by applicable law, Suraasa and its affiliates and personnel will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Software or this EULA, even if advised of the possibility. Suraasa's liability is limited as set out in Section 13 of the Terms of Use — in summary: to the maximum extent permitted by applicable law, Suraasa has no monetary liability to you and will not pay any damages, compensation, or money, whether you are a free or paying user; your sole remedy is to stop using the Software (together with any refund expressly provided). Suraasa is not liable for security incidents caused by events beyond its reasonable control. Nothing excludes liability that cannot be excluded under applicable law (including fraud, gross negligence, death or personal injury caused by negligence, a controller's statutory data-security liability, and mandatory consumer-protection liability), and where the law requires Suraasa to bear some liability it is limited to the minimum the law requires.
12. Indemnification
You will indemnify, defend, and hold harmless Suraasa, its affiliates, and personnel from third-party claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
This does not apply to the extent a claim arises from Suraasa's own breach, negligence, or wilful misconduct. These obligations survive termination.
13. Export controls and sanctions
You represent and warrant that you are not located in, or a national or resident of, any country subject to applicable embargoes or designated by the U.S. Government as a "terrorist-supporting" country, that you are not on any U.S. or other applicable prohibited/restricted-party list, and that you will use the Software in compliance with applicable export-control and sanctions laws.
14. Governing law and dispute resolution
The governing-law and dispute provisions of Section 18 of the Terms of Use (Indian law; courts at Gautam Buddh Nagar (Noida); preserved mandatory local rights; India consumer-forum protection) apply to this EULA as if set out here. Nothing deprives you of the mandatory rights of your country of residence.
15. General
This EULA, the Terms of Use, and the Privacy Policy are the entire agreement regarding the Software; on conflict, the order of precedence in Terms of Use Section 17(a) applies. The General provisions of Terms of Use Section 17(b) (severability, waiver, assignment, force majeure, notices, no agency) apply here. We may update this EULA; for consumers, material changes take effect only on prior notice with stop-use as your remedy; other changes take effect on continued use. Contact: [email protected].
16. Apple App Store — additional terms (applies if you obtained the App from the Apple App Store)

17. Google Play — note (applies if you obtained the App from Google Play)
If you obtained the App from Google Play, this EULA governs your use of the App. To the extent this EULA conflicts with the Google Play Terms of Service or Developer Distribution Agreement, those Google terms control as between Google and you, and Google has no responsibility or liability for the App. This EULA is between you and Suraasa only.
